I. Corporate Commitment to Privacy

ColdQuanta, Inc. dba Infleqtion, together with its subsidiaries and affiliates (collectively “Infleqtion”) are committed to respecting your privacy. This Privacy Policy (the “Policy”) describes how we collect, use, disclose, store and otherwise process information when you use our websites and other online products and services. We urge you to read this Policy so that you understand our commitment to you and your privacy, and how you can participate in that commitment.

II. Introduction to Our Policy

We at Infleqtion know that our users care how their Personal Data is used and shared, and we take your privacy seriously. “Personal Data” means any information that identifies or relates to a particular individual and also includes information referred to as “personally identifiable information” or “personal information” under applicable data privacy laws, rules, or regulations (collectively the “Data Protection Laws”). This Policy does not cover the practices of companies we don’t own or control or people we don’t manage. For clarity, this Policy applies when Infleqtion acts as a “Controller” (as defined in the General Data Protection Regulation (the “GDPR”) and the version of the GDPR retained in UK law (the “UK GDPR”) or “Business” as defined under the California Consumer Privacy Act of 2018 , as amended by the California Privacy Rights Act of 2020 (the “CPRA”) (all together the “CCPA”).

This Policy describes how we collect, use and disclose Personal Data when you use any of our services, including but not limited to:

  • Infleqtion website; which currently includes https://coldquanta.com and https://infleqtion.com; pages; sites; accounts; or channels accessible through any Internet or wireless enabled device (each, a “Website”);

  • Infleqtion online platforms and related offerings;

  • Websites or pages created or powered by Infleqtion (collectively, the “Services’”)

By visiting or using the Services in any manner, you acknowledge that you accept the practices and policies outlined in this Policy.

You must be 18 or older to use our Services. Minors under 18 and at least 13 years of age are only permitted to use our Services through an account owned by a parent or legal guardian with their appropriate permission and under their direct supervision. We do not knowingly collect or solicit Personal Data from anyone under the age of 13 or knowingly allow such persons to register for the Services. If you are under 13, please do not attempt to register for the Services or send any Personal Data about yourself to us, including your name, address, telephone number, or email address. In the event that we learn that we have collected Personal Data from a child under age 13 without verification of parental consent, we will delete that Personal Data as quickly as possible. If you believe that we might have any Personal Data from or about a child under 13, please contact us at info@infleqtion.com.

By visiting or using the Services, you will be providing us or allowing us to collect Personal Data and also personally consent to the collection, use and transfer of your Personal Data under the terms of this Policy.

III. What Information We Collect

Information Collected by Website Provider

This website is hosted by a third party (“Website Provider”). Website Provider collects personal data when you visit this website, including:

  • Information about your browser, network and device

  • Web pages you visited prior to coming to this website

  • Web pages you view while on this website

  • Your IP address

Website Provider needs the data to run this website, and to protect and improve its platform and services. Website Provider analyzes the data in a de-personalized form.

Information You Provide to Us

Infleqtion collects Personal Data about you in connection with some of our Services. On some of our sites, we may request that you voluntarily supply us with Personal Data, including your name, e-mail address or other information so that we may enhance your site visit or follow up with you after your visit. If you have voluntarily provided Personal Data, you consented to the collection and use of your Personal Data as described in this Policy. In addition, by visiting our Websites or using our Services, you consent to Infleqtion’s collection, use, disclosure, transfer and storage of Personal Data relating to you as set forth in this Policy. You can revoke consent by emailing info@infleqtion.com and we will cease using and processing your Personal Data. 

When you buy something on the Website, we collect Personal Data from you to fulfill the order. We may collect information like your:

  • Billing and shipping address

  • Details relating to your purchase (for example, your shirt size)

  • Email address

  • Name

  • Phone number

We share this information with Website Provider, our online store hosting provider, so that they can provide website services to us.

As you go through checkout, this site may auto-complete your shipping and billing address by sharing what you type with the Google Places API and returning suggestions to you to improve your checkout experience.

Information Collected Automatically

Infleqtion may also collect Technical Information about you when you visit our Websites, which your web browser automatically sends whenever you visit a website on the Internet. “Technical Information” is information that does not, by itself, identify a specific individual but which could be used to indirectly identify you. Our servers automatically record this information, which may include information about your browser, network, and device; web pages you visited prior to coming to the Website; your Internet Protocol (“IP”) address, browser type, browser language, and the date and time of your request. This information may also include details about your use of the Website, including: clicks, internal links, pages visited, scrolling, searches, timestamps. Gathering your information helps us ensure our Websites and other Services work correctly and support out customer analytic efforts. 

We may use these technologies to collect information about the ways visitors use our Websites, to support the features and functionality of our Websites, and to personalize your experience when you use our Websites. 

We also collect information about your use of the Websites through cookies and similar technology. A “cookie” is a unique numeric code that we transfer to your computer so that we can keep track of your interests and/or preferences and recognize you as a return visitor to the Websites. Our Websites may include links to third party websites and social media features, such as the Facebook Like button and other widgets that run on our site. These features may collect your IP address and which page you are visiting on our site, and may set a cookie to enable the feature to function properly. Social media features and widgets are either hosted by a third party or hosted directly on our site. Your interactions with these features are governed by the Policy of the organization providing it.

Information Collected from Other Sources

Infleqtion may also collect information about you from other sources to help us correct or supplement our records, improve the quality or personalization of our Services to you, and reduce exposure or aid in the detection of fraud. We may also use website and application analytics services provided by third parties to collect information about our Website or application use and to report trends, without identifying individual visitors. The third parties that provide us with these services may also collect information about your use of third-party websites. We also may receive information about you from other sources, such as public databases, joint marketing partners and social media platforms. Some company websites or services may be co-branded and offered in conjunction with another company. If you use such websites or services, both Infleqtion and the other company may receive the Personal Data that’s collected via that co-branded website or service. 

IV. Use of Personal Data

Infleqtion uses your Personal Data to provide you products and services. We also use your Personal Data to support our business functions, such as security protocols, marketing, and legal functions, data analysis; audits; identifying usage trends; determining the effectiveness of our operating procedures and expanding our business activities. 

We may also use your Personal Data to enhance the security and integrity of our Websites, mobile Services, and our business; to fulfill your requests for products and services and communicate with you about those requests; to respond to reviews, comments, or other feedback you provide us; to better understand customer behavior so that we may improve our marketing and advertising efforts and to improve the distribution of our products and services; to comply with legal and/or regulatory requirements; for industry benchmarking and analysis consistent with our legitimate business purpose; in connection with a job application or inquiry, you may provide us with data about yourself, including your educational background or resume and other information, including your ethnicity where required or permitted by law. We may use this information throughout Infleqtion, its subsidiaries and affiliates, and its joint ventures for the purpose of employment consideration. To do this, we combine Personal Data and non-personal information, collected online and offline, including information from third party sources. 

V. Disclosure of Personal Data to Third Parties

Infleqtion will not rent or sell your Personal Data to others but may disclose Personal Data with third-party vendors and service providers that work with Infleqtion, including with Website Provider, our website analytics provider, to learn about site traffic and activity. We will only share Personal Data to these vendors and service providers to help us provide a product or service to you.

Infleqtion may disclose Personal Data for our business purposes, such as: except as described above and below, Infleqtion may use or share information that does not personally identify you for any purpose, such as for operational or research purposes, for industry analysis, to improve or modify our products and services, to better tailor our products and services to your needs, and where legally required. 

Infleqtion may transfer and disclose information, including information that may or may not personally identify you, to third parties, such as authorities, law enforcement agencies, government agencies, or legal entities, to comply with a legal obligation (including, but not limited to, subpoenas); when we believe in good faith that the law requires it; in response to a lawful request by governmental authorities conducting an investigation, including subpoenas, court orders or search warrants, and as otherwise authorized by law to comply with law enforcement requirements; to verify or enforce our policies and procedures; to respond to an emergency; to prevent or stop activity we may consider to be, or to pose a risk of being, illegal, unethical or legally actionable; or to protect the rights, property, safety, or security of the Services, Infleqtion, third parties, visitors to our Services, or the public, as determined by us in our sole discretion. 

Using our Website or Services may link to third party web websites, services, and applications. Infleqtion is not responsible for any Personal Data collected through these means. Information collected is governed through the third party’s website’s Policy. Any interactions you have with these websites, services, or applications are beyond the control of Infleqtion. 

Information from or about you or your use of our Website may be stored and processed in any country where we have facilities or in which we engage service providers. Those countries may not have the same data protection laws as the country in which you initially provided that information. When we transfer information from or about you or your use of our products or services to other countries, we will protect it as described in this Policy. By use of our Website or otherwise providing information to us, you consent to the transfer of information from or about you or your use of our products or services to countries outside of your country of residence, including the United States.

VI. Data Retention and Storage

Infleqtion retains your information for business purposes, for as long as your account is active, and/or as long as is reasonably necessary to provide you with our products and services. Infleqtion will also retain your information as reasonably necessary to comply with our legal obligations, resolve disputes and enforce our agreements. We may also retain cached or archived copies of your information for a reasonable time. 

VII. Security Measures Taken to Protect Personal Data by Company

Security of information is of the utmost importance for Infleqtion. Infleqtion uses technical and physical safeguards to protect the security of your Personal Data from unauthorized disclosure. We use industry standard security measures to encrypt traffic, manage access to systems and Services, and to keep information secure. We also make all attempts to ensure that only necessary people and third parties have access to Personal Data. Nevertheless, such security measures cannot prevent all loss, misuse or alteration of Personal Data and we are not responsible for any damages or liabilities relating to any such incidents to the fullest extent permitted by law. Infleqtion will notify users of a data breach when Infleqtion determines that is reasonably necessary, and will notify relevant regulatory bodies, in accordance with applicable law. Any transmission is at your own risk and Infleqtion expects that you will use appropriate security measures to protect your information.

VIII. Collection, Access, Correction, Deletion and Portability of Personal Data

Under certain privacy laws and regulations, you may choose what contact and Personal Data is collected and stored in your account and preferences. If at any point in time you wish know what data we process about you, or correct or delete such Personal Data, you can request such information by contacting info@infleqtion.com. If you desire to obtain or transfer your information, we may provide you with your Personal Data in a structured and commonly used electronic format. We will respond to your request for access, correction, deletion or portability within 30 days. In some cases we may limit or deny your request if the law permits or requires us to do so, your request infringes on the privacy of other individuals or internal procedures, we have no personally-identifiable data related to you, or if we are unable to verify your identity. 

IX. California Privacy Rights

If you are a California resident, you have the rights outlined in this section. Please see the “Exercising Your Rights” section below for instructions regarding how to exercise these rights. If there are any conflicts between this section and any other provision of this Policy and you are a California resident, the portion that is more protective of Personal Data shall control to the extent of such conflict. Right of Access

You have the right to request certain information about our collection and use of your Personal Data over the past 12 months. We will provide you with the following information:

  • The categories of Personal Data that we have collected about you.

  • The categories of sources from which that Personal Data was collected.

  • The business or commercial purpose for collecting your Personal Data.

  • The categories of third parties with whom we have shared your Personal Data.

  • The specific pieces of Personal Data that we have collected about you.

If we have disclosed your Personal Data for a business purpose over the past 12 months, we will identify the categories of Personal Data shared with each category of third party recipient.

Right of Deletion

You have the right to request that we delete the Personal Data that we have collected from you. Under the CCPA, this right is subject to certain exceptions: for example, we may need to retain your Personal Data to provide you with the Services or complete a transaction or other action you have requested. If your deletion request is subject to one of these exceptions, we may deny your deletion request.

Right to Correct

You have a right to request correction of inaccurate Personal Data.

Right to Opt Out of Selling Your Personal Data

Infleqtion does not sell your Personal Data.

Right to Opt Out of Sharing Your Personal Data

Although Infleqtion does not sell your Personal Data, we may share in a few instances your Personal Data with third parties. “Sharing” under the CCPA, is broadly defined to cover the disclosing Personal Data for purposes of cross-context behavioral advertising, as for example targeting advertising based on Personal Data obtained from a consumer’s activity across distinctly-branded websites or services.

You can request to opt out of sharing your Personal Data as defined above in Section IX. Collection, Access, Correction, Deletion and Portability of Personal Data.

Right to Limit the Use of Sensitive Personal Data

Infleqtion does not use or disclose Sensitive Personal Data for reasons other than permitted under the CCPA.

Non-discrimination for Exercising Your CCPA Rights

We will not discriminate against you for exercising your rights under the CCPA. We will not deny you our goods or services, charge you different prices or rates, or provide you a lower quality of goods and services if you exercise your rights under the CCPA.

Right to Opt-out of Automated Decision-Making Technology (Profiling)

Infleqtion does not engage in automated decision-making or profiling.

Exercising Your Rights

To exercise the rights described above, you must send us a request that (1) provides sufficient information to allow us to verify that you are the person about whom we have collected Personal Data, and (2) describes your request in sufficient detail to allow us to understand, evaluate, and respond to it. Each request that meets both of these criteria will be considered a “Valid Request.” We may not respond to requests that do not meet these criteria. We will only use Personal Data provided in a Valid Request to verify you and complete your request. You do not need an account to submit a Valid Request.

We will work to respond to your Valid Request within 45 days of receipt. We will not charge you a fee for making a Valid Request unless your Valid Request(s) is excessive, repetitive, or manifestly unfounded. If we determine that your Valid Request warrants a fee, we will notify you of the fee and explain that decision before completing your request.

X. Other State Law Privacy Rights

Other California Resident Rights

Under California Civil Code Sections 1798.83-1798.84, California residents are entitled to contact us to prevent disclosure of Personal Data to third parties for such third parties’ direct marketing purposes; in order to submit such a request, please contact us at info@infleqtion.com.

Your browser may offer you a “Do Not Track” option, which allows you to signal to operators of websites and web applications and services that you do not wish such operators to track certain of your online activities over time and across different websites. Our Services do not support Do Not Track requests at this time. To find out more about “Do Not Track,” you can visit www.allaboutdnt.com.

Nevada Resident Rights

If you are a resident of Nevada, you have the right to opt out of the sale of certain Personal Data to third parties who intend to license or sell that Personal Data. You can exercise this right by contacting us at info@infleqtion.com with the subject line “Nevada Do Not Sell Request” and providing us with your name and the email address associated with your account. Please note that we do not currently sell your Personal Data as sales are defined in Nevada Revised Statutes Chapter 603A.

XI. Inquiry, Complaint, and Dispute Process

Customers may contact Infleqtion with any questions, concerns, or inquiries about this Policy or company data. If you would like to make a formal complaint, please contact info@infleqtion.com. All complaints will be evaluated, and a reply will be sent as soon as appropriate. In some instances, Infleqtion may have to cease Services to you if necessary to satisfy your request. We hope that we can resolve any query or concern you raise about our use of your information.

The GDPR and the UK GDPR also give you the right to lodge a complaint with a supervisory authority, in particular (under the GDPR) in the European Union (or European Economic Area) state where you work, normally live or where any alleged infringement of data protection laws occurred. XII. Questions/Updates to Policy

Infleqtion may review and update this Policy periodically without any prior notice. Any changes we may make to our Policy in the future will be notified and made available to you using the Website. Your continued use of the Services and the Website shall be deemed your acceptance of the varied Policy.
